Sustainability Governance

Sustainability governance at Pantech Global begins at the top. Our Board of Directors holds ultimate oversight and accountability for the Group’s sustainability direction, ensuring that economic, environmental, social and governance considerations are embedded into our strategic priorities and business decisions — not treated as a separate consideration from how we run our business.

This commitment is reinforced through continuous learning. Board members actively engage in capacity-building programmes to deepen their understanding of sustainability and climate-related matters, ensuring oversight remains informed as expectations and risks evolve. Sustainability-related competencies are periodically assessed as part of this commitment, reflecting the Board’s belief that strong governance starts with informed leadership.

Oversight is cascaded through a structured governance framework — from the Board to the Sustainability Management Committee, and down to dedicated taskforces at the operational level — ensuring that sustainability strategy translates into consistent action across the Group.

Monitor and govern Sustainability strategies, policies and management of economic, environmental and social issues

Sustainability Management Committee (“SMC”)

  • Develops and implements Sustainability Strategy aligned with the group’s vision, mission and core values
  • Establishes Sustainability Policies and guidelines to ensure compliance with relevant regulations
  • Leads the Sustainability Taskforce to execute Sustainability Strategy and coordinate implementation across ESG areas:

Sustainability Taskforce

  • Sets action plans and guides subsidiaries or departments involved in its implementation
  • Collects, analyses and reports key indicator data to the Coordinator

Coordinator

  • Intermediates between SMC and Sustainability Taskforce to communicate feedback between both parties
  • Participates in executing and implementing the Sustainability Strategy set out by SMC
  • Compiles the data for key indicators to be submitted to SMC on a quarterly basis

Enhanced Governance / Independence of Audit

This governance structure is further reinforced by rigorous audit independence practices, including mandatory rotation of the lead audit partner every seven years with a five-year cooling-off period. The Audit and Risk Management Committee (“ARMC”), chaired by an Independent Non-Executive Director, oversees this practice in accordance with the professional standards established by the Malaysian Institute of Accountants (“MIA”).

  • Complemented by a Conflict of Interest (“COI”) Policy ensuring Directors and Key Senior Management discharge fiduciary duties free from compromise.
  • A Whistleblowing Policy provides a secure, confidential channel for stakeholders to raise concerns without fear of retaliation.
  • Regular ABAC training and workshops conducted throughout the year for all staff.

1. Corruption-related Risk Assessment

100% of our operations within the reporting scope underwent the corruption risk assessment. All identified risk categories fell within the Low Residual Risk range.

Pantech Global completed our first ABAC Risk Assessment since our listing in March 2025, covering 100% of business and operational functions. All identified risk categories fell within the Low Residual Risk range, attributed to multi-level approval processes, segregation of duties, and restricted system access controls. This baseline assessment will support the next phase — evaluating existing control effectiveness and identifying enhancement opportunities.

  • Access rights and user activities are reviewed regularly to prevent misuse or unauthorised access.
  • Technical safeguards include routine offsite backups, endpoint security with threat protection, firewalls, and email filtering — with systems equipped to detect script emulation, zero-day exploits, and malware variants through pattern and reputation-based analysis.
